Overview:

This Trade-In Programme Purchase Agreement is entered into by LIKEWIZE SERVICES UK Limited (company registered in England with registration number 08401611) with its registered office at Crewe Logistics Park, Jack Mills Way, Shavington, Crewe, CW2 5XF, England, email APRSupport.UK@Likewize.com (“Likewize”) through Apple Premium Reseller scheme (“APR”), and Customer.

“Customer” means the person of legal age (and legal representatives of minors or people who lack legal capacity) trading in an Eligible Device in accordance with these terms and conditions.
“Eligible Device” means any device that is eligible for this Trade-In Programme Purchase Agreement as determined by Likewize.
“APR” means Retailers who participate in the Apple Premium Reseller programme. These Retailers are Independent 3rd party and are not owned by Apple

Customer expressly accepts and understands, acknowledges and agrees that the APR is not part of the Contract and therefore has no liability to the Customer in respect of this Trade-In Programme Purchase Agreement and agrees not to hold the APR responsible in of the transaction made under this Trade-In Programme Purchase Agreement, unless APR's acts were performed with bad faith and/or gross negligence.
If any provision of this Trade-In Programme Purchase Agreement is found to be in breach of the applicable law, regulation or similar statute and, as a result, this Trade-In Programme Purchase Agreement becomes partially null, avoidable and/or unenforceable, this Trade-In Programme Purchase Agreement shall be deemed reduced to the valid and enforceable provisions, and shall remain in force without the invalid and/or unenforceable provisions if it is still possible to fulfil its object and achieve its intended objectives.

Customer represents and warrants that:

- there are no liens, encumbrances or security interests in or attached to the Eligible Device and that no other party has a legal interest in it;
- any items Customer seeks to trade in/recycle through the Trade-In Programme shall not infringe on any third-party intellectual property right (including copyright, trademarks, patent, trade secrets or other proprietary right);
- they are not an Apple reseller; and
- the Eligible Device is not counterfeit, stolen or fraudulent. 

Ownership transfers to Likewize:

Upon receipt and acceptance of the Eligible Device by Likewize acting through the APR, title of ownership in such Eligible Device transfers to Likewize from the Customer and Customer disclaims any further right, title or interest in and to the Eligible Device or any items contained therein. As from that moment any risk, loss or damage on the Elegible Device shall be passed to Likewize.

Purchase of new Eligible Device:

Customer agrees that the value received by them for their current Eligible Device is in the form of a discount against purchase of new Apple equipment. There is no cash alternative.

Customer’s responsibility for their data:

Customer agrees that they have the sole responsibility to keep a separate backup copy of any files or data before transferring ownership of the Eligible Device to Likewize; and that Customer has taken reasonable steps to eliminate and delete files and data that are deemed personal or confidential from the Eligible Device, and in the case of a Product with an IOS operating system has additionally removed the iCloud account from the Eligible Device. Data recovery is not a part of the services provided by Likewize or the APR and the APR and Likewize accept no responsibility or liability for any lost files or data once the Eligible Device is in the ownership of Likewize.
Likewize shall take reasonable actions to wipe or remove any stored data from the Eligible Device, however Likewize accept no responsibility for failure to maintain the integrity or confidentiality of any files or data unless a damage is caused due to bad faith or gross negligence of Likewize.
Likewize under the reasonable suspicion that the Eligible Device is lost or stolen, will act according to the applicable rules and will not give any discount unless the legitimate ownership is proved.

General Terms and Conditions:

This Trade-In Programme Purchase Agreement is provided for lawful purposes only, and Customer agrees to indemnify the APR and Likewize and any of their directors, officers, employees, affiliates, subsidiaries or agents from and against any claims brought against any of them arising from gross negligence or bad faith of the Customer related to this Trade-In Programme Purchase Agreement or for any breach of these terms and conditions attributable to Customer.
Customer expressly accepts that Likewize will under no circumstances be liable for any special, indirect, incidental or consequential damages resulting from this Trade-In Programme Purchase Agreement except for those deriving from bad faith or gross negligence.
Customer expressly accepts, to the extent permitted by applicable law, that Likewize, the APR and their affiliates’ entire liability, if any, from any cause whatsoever with respect to this Trade-In Programme Purchase Agreement shall not exceed 100% of the discount provided against the purchase of new Apple equipment except it is evidenced that the damage is atributable to fraud or gross negligence of Likewize.

Personal Data Protection:

Customer is informed that personal data [to include the datas to be filed] may be included in a personal data file whose owner is Likewize, which Customer consents. The purpose for which they are stored is the management of Trade-In Programme. The personal data provided will never be used for other than the above described purpose. In addition, the Customer authorizes Likewize to notify the APR about their personal data included in this form for the same previous purpose in relation to the management of the provision of this Trade-In Programme. Customer may exercise the rights of access, rectification, cancellation and opposition to Likewize by sending email to APRsupport@Likewize.com.

Applicable Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with UK Law. If a dispute, controversy or difference is not amicably settled, it shall be finally resolved by jurisdiction of Courts and Tribunals of the city of (to be included with the consumer’s address or the place of performance of the agreement -where the APR Store is located-).

1. Applicability

This Privacy Policy and Security Statement (“Statement”) applies to this website(“Site”), which is owned and operated by LIKEWIZE SERVICES UK Limited (“LIKEWIZE SERVICES UK Limited” or “we”) for the purpose of providing information about certain products and services offered by the companies represented on this Site (“Sellers”). • Using LIKEWIZE SERVICES UK Limited to collect or attempt to collect personal information about third parties without their knowledge or consent is prohibited.

LIKEWIZE SERVICES UK Limited maintains active processes to ensure compliance with this Statement, as well as with legal requirements, contractual agreements and other commitments in the handling of private information. All violations of this Statement will be strictly enforced.
